Part I — Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the KS TAX SERVICES INC website and your interactions with KS TAX SERVICES INC ("KS Tax Services," "we," "us," or "our"). By using this website, submitting an inquiry, scheduling an appointment, requesting services, signing an engagement letter, or authorizing us to begin work, you acknowledge these Terms.

An engagement letter, service agreement, proposal, invoice, or other written agreement may contain additional terms specific to a service (collectively, an "Engagement Agreement"). If an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that service.

1. Our Services

KS Tax Services may provide services such as:

  • Individual and business tax-return preparation and electronic filing;

  • Amended tax returns;

  • Tax planning and consultations;

  • Assistance with IRS, California Franchise Tax Board, Employment Development Department, and other tax notices;

  • Bookkeeping support;

  • Payroll preparation and related tax filings;

  • Business formation, registration, dissolution, and administrative filing assistance; and

  • Other tax or business-support services agreed to in writing.

The exact scope, fees, responsibilities, and deliverables for a service may be described in an Engagement Agreement. A service not specifically included in the agreed scope is not included and may require a separate engagement and additional fee.

2. No Legal, Investment, or Guaranteed Advice

We provide tax preparation and related professional services. Unless expressly agreed in writing and permitted by our professional qualifications, we do not provide legal, investment, securities, insurance, or other regulated professional advice.

Business-formation and compliance assistance is administrative and tax-related and is not a substitute for advice from a licensed attorney. You remain responsible for legal decisions, contracts, licenses, permits, employment-law compliance, and other non-tax obligations.

We do not guarantee a refund, amount of tax savings, processing time, financing result, audit result, acceptance of a tax position, or any particular decision by a government agency. Results depend on your facts, records, elections, applicable law, agency procedures, and other circumstances outside our control.

3. Client Responsibilities

You agree to:

  • Provide complete, accurate, and timely information, documents, and explanations;

  • Disclose all income, accounts, digital assets, business activities, foreign interests, transactions, and other facts relevant to the requested service;

  • Answer our due-diligence questions truthfully and provide supporting documents when requested;

  • Review every draft return, report, payroll register, filing, payment instruction, and other deliverable before approval;

  • Confirm names, Social Security numbers, bank details, addresses, dependents, income, deductions, credits, and direct-deposit or withdrawal information;

  • Sign required engagement, authorization, consent, and e-file forms;

  • Maintain original records and supporting documents for the periods required by law;

  • Pay taxes, payroll, estimated taxes, government fees, and other amounts by their deadlines; and

  • Promptly notify us about corrected forms, missing income, government notices, identity theft, changed circumstances, or errors you discover.

We generally rely on information provided by you or your authorized representatives and do not audit or independently verify it unless expressly agreed in writing. You are ultimately responsible for the accuracy and completeness of your returns, filings, payroll information, business records, and underlying data.

We may decline to claim a deduction, credit, filing status, dependent, business position, or other tax treatment if we determine that the information provided is insufficient or the position lacks reasonable support.

4. Deadlines, Extensions, and Government Processing

You are responsible for providing documents early enough for us to complete the work. Delivery near a deadline does not guarantee timely completion or filing. Late or incomplete information may require an extension, rescheduling, expedited-service fee, or deferral of the work.

An extension generally extends the time to file a return, not the time to pay tax. You remain responsible for making timely payments and estimated payments. We are not responsible for penalties or interest caused by late, incomplete, or inaccurate information; delayed approvals; insufficient funds; failure to follow payment instructions; government processing; or circumstances outside our reasonable control.

Government agencies control acceptance, processing, refunds, notices, examinations, and account adjustments. Estimated processing times are informational and are not guaranteed.

5. Tax Preparation and Electronic Filing

We will not electronically file a tax return until we receive all required signatures and authorizations and any payment required before filing.

Your approval of a return confirms that you reviewed it and believe it is complete and accurate. Electronic filing acceptance only confirms that the agency received and accepted the transmission for processing; it does not mean the agency approved every item reported.

Preparation of a tax return does not automatically include tax planning, bookkeeping cleanup, amended returns, responses to notices, audit representation, collection matters, or future-year services unless expressly included in writing.

6. IRS and State Notices; Representation

You must send us a complete copy of any tax-agency notice promptly. Reviewing or responding to a notice, communicating with an agency, preparing a protest, or representing you in an examination or collection matter is a separate service unless specifically included in your Engagement Agreement.

We cannot guarantee that a government agency will accept a response or resolve a matter in your favor. Agency deadlines remain your responsibility unless we expressly confirm in writing that we have accepted responsibility for a particular response or filing.

7. Bookkeeping and Accounting Support

Bookkeeping and accounting outputs are based on the records and access you provide. Unless expressly stated otherwise, these services do not constitute an audit, review, compilation, or assurance engagement.

You remain responsible for management decisions, internal controls, safeguarding assets, approving transactions, maintaining subscriptions and access, selecting classifications, and reviewing financial reports. You should promptly notify us of any requested correction or reclassification. Retroactive corrections or cleanup outside the agreed scope may require an additional fee.

8. Payroll Services

You are responsible for providing accurate and timely payroll information, including employee and contractor status, names, addresses, Social Security numbers, withholding elections, pay rates, hours, benefits, deductions, new hires, terminations, and changes.

You are also responsible for maintaining sufficient funds and approving payroll early enough for wages and taxes to be paid on time. We do not provide employment-law or human-resources legal advice. Worker classification, wage-and-hour compliance, insurance, workplace rules, and employment decisions remain your responsibility unless separately handled by a qualified professional.

Third-party payroll platforms, banks, and government systems may have their own terms, cutoff times, and limitations. We are not responsible for their outages or failures outside our reasonable control.

9. Business Formation and Administrative Filings

Our assistance with forming, registering, converting, amending, or dissolving a business is administrative and tax-related. You are responsible for selecting the entity and ownership structure, obtaining legal advice, reviewing public filings, maintaining a registered agent, obtaining licenses and permits, observing corporate formalities, filing ongoing reports, and satisfying other continuing obligations unless specifically included in writing.

Government filing fees, publication costs, registered-agent fees, licenses, and similar third-party charges are separate from our professional fee unless expressly stated otherwise.

10. Fees, Billing, and Payment

Fees may be stated in an Engagement Agreement, proposal, invoice, or published pricing information. Tax-return preparation, amended-return preparation, and certain other services are generally charged as flat-fee services based on the expected scope and complexity rather than time spent. Consultations, research, notice work, bookkeeping, payroll, or work outside the original scope may be billed separately or at an hourly rate when disclosed and agreed.

An estimate is not a guaranteed final price if the facts, documents, complexity, or requested scope materially change. We will make reasonable efforts to notify you before performing material out-of-scope work that will result in an additional charge.

We may require a retainer or advance payment. Unless an Engagement Agreement or applicable law provides otherwise, fees for professional work already performed are nonrefundable. We may pause work, decline to release final deliverables, decline to file, or terminate an engagement when an invoice remains unpaid, to the extent permitted by law and professional obligations.

Tax liabilities, payroll funding, government filing fees, software fees, postage, and other third-party costs are not included unless clearly stated.

If you question a charge, contact us promptly so we can review the scope, invoice, and work performed.

11. Communications and Client Portal

You consent to service-related communication by telephone, voicemail, email, SMS, videoconference, electronic signature, and secure client portal. Ordinary email and text messaging may not be secure enough for highly sensitive information. When a secure portal is available, do not send Social Security numbers, full tax returns, complete bank information, or identity documents through ordinary email or text.

You are responsible for protecting your portal credentials, using multifactor authentication when offered, and notifying us promptly of unauthorized access or changed contact information.

Electronic messages may be delayed, filtered, misdirected, or intercepted. If a matter is urgent or involves a filing or payment deadline, you should confirm that we received it.

12. Confidentiality and Privacy

We treat client information as confidential and handle tax-return information in accordance with applicable federal law, including Internal Revenue Code Sections 7216 and 6713. Our collection, use, disclosure, retention, and protection of personal information are described in Part II of this page, the Privacy Policy.

13. Record Retention

We may retain copies of returns, workpapers, communications, authorizations, and supporting documents according to our internal policies and applicable legal and professional requirements. You remain responsible for keeping your original documents and permanent copies of filed returns and other important records. Our portal and systems are not intended to serve as your only permanent document archive.

14. Third-Party Services and Website Links

We may use or link to third-party platforms, including website hosting, client portals, tax and e-file software, bookkeeping and payroll systems, scheduling services, electronic signatures, payment processors, and government websites.

We do not control third-party systems and are not responsible for their terms, availability, security practices, outages, processing delays, or content. Your use of a third-party service may also be governed by that provider's terms and privacy policy.

15. Suspension or Termination of Services

Subject to applicable law and professional obligations, we may decline, suspend, or terminate services if:

  • Required information, documentation, approvals, or payment is not provided;

  • You request an unsupported, inaccurate, misleading, or unlawful position;

  • A conflict of interest or professional-independence concern arises;

  • Communication becomes abusive, threatening, or unreasonably disruptive;

  • Continuing the engagement would create an unreasonable legal, ethical, security, or collection risk; or

  • The engagement is no longer workable for another legitimate business or professional reason.

You remain responsible for deadlines, filings, payments, and obtaining another professional after services end.

16. Website Information and Intellectual Property

Website content is provided for general educational and informational purposes. It is not individualized tax or legal advice and does not create a professional-client relationship by itself. You should obtain advice based on your specific facts before acting.

Unless otherwise stated, website text, graphics, branding, downloads, and other original content belong to KS Tax Services or are used with permission. They may not be copied, republished, sold, or used commercially without written permission. You may print or save materials for your personal, noncommercial use.

17. Disclaimer and Limitation of Liability

To the fullest extent permitted by law, this website and its general informational content are provided "as is" without warranties of accuracy, completeness, availability, merchantability, fitness for a particular purpose, or noninfringement.

For professional services, any liability limitations stated in a signed Engagement Agreement will apply. To the fullest extent permitted by law, KS Tax Services will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits or business interruption, arising from website use, third-party systems, or professional services.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited. These Terms do not waive any nonwaivable right or professional duty.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any mandatory rights or remedies available under applicable law remain unaffected.

19. Changes to These Terms

We may update these Terms when our services, systems, or legal obligations change. The "Last Updated" date identifies the latest revision. Changes apply prospectively when posted unless another effective date is stated.

 

Part II — Privacy Policy

KS TAX SERVICES INC respects the privacy and confidentiality of clients and website visitors. This Privacy Policy explains how we collect, use, disclose, retain, and protect personal information obtained through our website, client portal, communications, and professional services.

This Privacy Policy does not replace a client engagement letter or a separate consent required under federal tax law.

1. Information We Collect

Depending on the services requested, we may collect:

  • Contact and identification information: name, address, email address, telephone number, date of birth, marital status, and dependent information;

  • Government identifiers: Social Security number, ITIN, EIN, driver's license or other identification, and tax-account information;

  • Tax and financial information: tax forms, prior-year returns, income, deductions, credits, assets, liabilities, bank information, brokerage records, retirement information, health-insurance tax forms, and supporting documents;

  • Business and payroll information: entity records, ownership information, accounting data, employee or contractor information, wages, hours, benefits, and withholding elections;

  • Payment information: invoices, payment status, and limited transaction details. Third-party processors may process card and bank payments, and we may not receive or store complete payment-card numbers;

  • Communications: emails, text and portal messages, telephone notes, appointments, questionnaires, uploaded documents, signatures, authorizations, and requests; and

  • Website and device information: IP address, browser and device type, pages viewed, referring source, approximate location, cookie identifiers, and website activity.

We may collect information directly from you; from a spouse, representative, employer, financial institution, or prior tax professional when authorized; from records you upload or provide; from government agencies; and from service providers used to perform our work.

2. How We Use Information

We use personal information as reasonably necessary to:

  • Respond to inquiries and schedule appointments;

  • Establish and manage the client relationship;

  • Prepare, review, amend, and electronically file tax returns and related forms;

  • Provide bookkeeping, payroll, consulting, representation, and business administrative services;

  • Verify identity, obtain signatures, and complete preparer due diligence;

  • Communicate about documents, deadlines, services, fees, and payments;

  • Maintain required professional and business records;

  • Detect and prevent fraud, tax-related identity theft, security incidents, and unauthorized access;

  • Operate, secure, analyze, and improve our website, portal, and internal systems;

  • Comply with tax, legal, regulatory, insurance, and professional obligations; and

  • Establish, exercise, or defend legal or professional claims.

We do not use tax-return information for unrelated marketing unless the use is permitted by law or you provide any affirmative consent specifically required by law.

3. Tax-Return Information

Federal law restricts a tax return preparer's use and disclosure of tax-return information. We handle this information in accordance with Internal Revenue Code Sections 7216 and 6713 and applicable regulations.

We may use or disclose tax-return information without a separate consent when expressly permitted by law, including as necessary to prepare or file a return, provide certain supporting services, comply with a lawful requirement, or protect against fraud. When federal law requires affirmative written consent for a particular use or disclosure, we will request it separately. Acceptance of this Privacy Policy is not a substitute for a consent required under Section 7216.

4. When We Disclose Information

We may disclose information only as reasonably necessary and permitted by law:

  • To government agencies: including the IRS, California Franchise Tax Board, Employment Development Department, Secretary of State, and other authorities when authorized or legally permitted;

  • To service providers: including tax and e-file software, client portals, document storage, accounting and payroll platforms, electronic-signature services, payment processors, website hosting, analytics, communications, scheduling, cybersecurity, and technical-support providers;

  • To your authorized persons: such as a spouse, representative, attorney, or financial professional, when you authorize the disclosure or the law permits it;

  • To professional advisers: such as attorneys, insurers, auditors, or consultants for compliance, risk management, or claim handling;

  • For legal or security reasons: to comply with lawful requests, investigate fraud or security incidents, or protect legal rights, safety, and property; and

  • During a business transition: in connection with a possible merger, acquisition, sale, reorganization, or transfer of the practice, subject to applicable confidentiality and tax-information restrictions.

We do not sell personal information. We do not disclose client tax information to third parties for their independent advertising or marketing.

Service providers are expected to process information only for contracted purposes and to maintain appropriate confidentiality and security protections.

5. Client Portal and Other Service Providers

We may use third-party systems such as Wix or another website platform, TaxDome or another client portal, tax-preparation and e-file software, accounting or payroll software, electronic-signature services, scheduling tools, payment processors, and communications providers.

These providers process information under their own privacy notices, terms, and contractual obligations. We evaluate providers as appropriate to the sensitivity of the information, but no third-party system is under our complete control.

6. Data Security

We maintain reasonable administrative, technical, and physical safeguards designed to protect client information. Depending on the system and risk, these safeguards may include access controls, multifactor authentication, secure portals, encryption, device and network protections, backups, confidentiality requirements, vendor oversight, secure disposal, incident-response procedures, and a written information security program.

No transmission or storage system is completely secure, and we cannot guarantee absolute security. When notification of a security incident is required by law, we will provide notice according to applicable requirements.

You should protect your credentials, use a unique password and multifactor authentication when offered, and promptly notify us if you suspect identity theft, account compromise, or unauthorized disclosure.

7. Electronic Communications

We may communicate by phone, voicemail, email, SMS, videoconference, electronic signature, and secure client portal. Ordinary email and text may not be suitable for highly sensitive information. When a secure portal is available, please use it for Social Security numbers, tax returns, banking information, and identity documents.

Service messages—such as document requests, appointment reminders, filing updates, invoices, payment notices, and security alerts—are not promotional messages. You may unsubscribe from promotional email through the method provided and may opt out of nonessential text messages by replying STOP. Opting out may limit our ability to provide text updates.

8. Cookies and Website Analytics

Our website may use cookies and similar technologies for essential operation, security, preferences, traffic measurement, and performance analysis. These technologies may collect device and browsing information but are not intended to collect Social Security numbers, tax returns, or financial-account credentials.

You may manage cookies through browser settings or a cookie-control tool presented on the website. Blocking cookies may affect website functions.

If we later use advertising technology that constitutes "selling" or "sharing" under applicable California law, we will provide any legally required notice and opt-out mechanism.

9. Retention and Secure Disposal

We retain information for as long as reasonably necessary to provide services, maintain tax and professional records, satisfy legal and regulatory obligations, resolve disputes, enforce agreements, and protect against fraud. Retention periods vary according to the record and engagement.

When information is no longer reasonably required, we may securely delete, destroy, or anonymize it, subject to legal, backup, archival, and professional recordkeeping requirements. You remain responsible for retaining original records and permanent copies of filed returns.

10. Children's and Dependents' Information

Our website is directed to adults and is not intended for children under 13. We do not knowingly collect personal information directly from children through the website. We may receive information about a client's children or dependents from a parent, guardian, or authorized person when needed for tax, payroll, or related services.

11. Your Privacy Choices

Subject to applicable law and professional recordkeeping requirements, you may ask us to:

  • Confirm whether we maintain personal information about you;

  • Provide access to certain information;

  • Correct inaccurate information;

  • Delete information we are not legally or professionally required to retain; or

The California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, the "CCPA"), applies only to businesses meeting statutory criteria and includes exemptions for certain records.

To the extent the CCPA applies to KS TAX SERVICES INC and the information involved, an eligible California resident may have rights to know, access, correct, or delete certain personal information; receive information about its collection and disclosure; opt out of a sale or sharing; limit certain uses of sensitive personal information; and receive equal service and pricing when exercising those rights.
